Affiliate Terms of Service

1. Agreement to Terms

These Affiliate Terms of Service (“Affiliate Terms”) constitute a legally binding agreement between you (“Affiliate,” “you,” or “your”) and Afglo (“Company,” “we,” “us,” or “our”), operated from 13022 Carita Cove, San Diego, CA 92130. By joining an affiliate program through the afglo.com platform (“Service”), you agree to be bound by these Affiliate Terms and our general Terms of Service.

2. Affiliate Relationship

As an affiliate, you are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship between you and Afglo or between you and any campaign owner. You are solely responsible for your own taxes, insurance, and compliance with applicable laws.

3. Enrollment and Approval

You may apply to join affiliate programs through campaign-specific invitation links. Program owners have sole discretion to accept or reject affiliate applications. Acceptance into one program does not guarantee acceptance into others. You must provide accurate information during enrollment, including your real name, contact details, and payment information.

4. Promotional Guidelines

As an affiliate, you agree to:

  • Promote products and services honestly and accurately
  • Clearly disclose your affiliate relationship in compliance with FTC guidelines
  • Use only approved marketing materials and messaging provided by the campaign owner
  • Not make false, misleading, or unsubstantiated claims about products or services
  • Comply with all applicable advertising laws and regulations
  • Not engage in negative or disparaging marketing against competitors

5. Prohibited Practices

The following activities are strictly prohibited:

  • Self-referrals: Using your own affiliate links to make purchases for yourself, your family members, or entities you control
  • Cookie stuffing:Dropping affiliate cookies without the user's knowledge or genuine interaction
  • Spam: Sending unsolicited emails, messages, or communications containing affiliate links
  • Trademark bidding:Bidding on the campaign owner's brand name, trademarks, or variations in paid search advertising without explicit permission
  • Incentivized clicks: Offering rewards, incentives, or compensation to users for clicking affiliate links (unless explicitly allowed by the program)
  • Fake traffic: Using bots, click farms, or any artificial means to generate referrals or conversions
  • Domain squatting:Registering domains that include the campaign owner's brand name or trademarks
  • Unauthorized use of trademarks: Using logos, brand names, or other intellectual property without permission

Violation of these prohibitions may result in immediate termination of your affiliate account, forfeiture of unpaid commissions, and potential legal action.

6. Referral Tracking and Attribution

Referrals are tracked through unique affiliate links and cookies assigned to your account. Attribution is based on last-touch: the most recent qualified affiliate interaction before a conversion receives credit. Cookie duration is set by each campaign owner and may vary between programs. We are not responsible for tracking failures caused by user browser settings, ad blockers, or technical issues beyond our control.

7. Commissions and Payment

Commission rates, structures (percentage or fixed amount), and payment terms are set by each campaign owner and displayed in your affiliate dashboard. Commissions are calculated based on qualifying conversions as defined by the campaign. Commissions may be adjusted or reversed in cases of refunds, chargebacks, cancellations, or fraudulent transactions. Payment timing and methods are determined by the campaign owner. Afglo facilitates commission tracking and calculation but does not directly pay commissions — payment is the responsibility of the campaign owner.

8. Commission Reversals

Commissions may be reversed or clawed back if the underlying transaction is refunded, charged back, disputed, or determined to be fraudulent. Reversed commissions will be deducted from your pending or future earnings. You acknowledge that commission amounts are not final until the applicable holding period (if any) has passed.

9. Intellectual Property

Campaign owners may provide you with marketing materials, logos, and branded content for promotional use. Your license to use these materials is limited to promoting the specific campaign and terminates when your participation in that campaign ends. You may not modify provided materials without permission. You retain ownership of original content you create (blog posts, reviews, videos) but grant the campaign owner a non-exclusive license to reference or share such content.

10. Data and Privacy

We collect your account information, referral activity, and performance data to operate the Service. You must not collect personal data from referred users beyond what is necessary for your promotional activities, and must comply with applicable privacy laws (including GDPR where applicable). You must maintain a privacy policy on any website where you place affiliate links.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFGLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF ANTICIPATED COMMISSIONS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS ACTUALLY PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

12. Indemnification

You agree to indemnify and hold harmless Afglo, campaign owners, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your promotional activities, your violation of these Affiliate Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. Campaign owners may remove you from their programs at their sole discretion. We may suspend or terminate your affiliate account for violation of these Affiliate Terms. Upon termination, you must immediately cease using all affiliate links and remove promotional materials. Commissions earned and validated prior to termination will be paid according to the program's standard payment schedule. Commissions pending validation at the time of termination may be forfeited if termination was due to a violation of these Terms.

14. Modifications to Terms

We may update these Affiliate Terms from time to time. We will notify you of material changes via email or in-platform notice at least 14 days before they take effect. Continued participation in affiliate programs after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must withdraw from all programs and close your account.

15. Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California. You agree to submit to the personal jurisdiction of these courts.
