Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Owner,” “you,” or “your”) and Afglo (“Company,” “we,” “us,” or “our”), operated from 13022 Carita Cove, San Diego, CA 92130. By creating an account or using the afglo.com platform (“Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Afglo provides a software-as-a-service platform that enables businesses to create and manage affiliate marketing programs. The Service includes campaign creation, affiliate onboarding, referral tracking, commission calculation, and payout management tools. Stripe integration is available for payment processing but is not required to use the platform.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old and have the legal authority to bind the entity you represent.

4. Acceptable Use

You agree not to use the Service to:

• Promote illegal products, services, or activities
• Engage in or facilitate fraud, deception, or misleading practices
• Distribute malware, spam, or unauthorized communications
• Infringe on intellectual property rights of third parties
• Violate any applicable laws, regulations, or third-party rights
• Interfere with the operation of the Service or other users' accounts
• Attempt to gain unauthorized access to the Service or its systems
• Promote adult content, gambling, weapons, or controlled substances without proper licensing

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Your Responsibilities as an Owner

As a campaign owner, you are responsible for:

• Setting fair and transparent commission structures for your affiliates
• Paying earned commissions to affiliates in a timely manner
• Providing accurate product and program information
• Complying with all applicable advertising and marketing laws (including FTC guidelines)
• Managing your affiliate relationships and resolving disputes
• Ensuring your tracking integration is properly installed and maintained

6. Fees and Payment

Current pricing and fee structures are displayed on the platform. We reserve the right to change pricing with 30 days' written notice. Fees are non-refundable except as required by law. If you connect a Stripe account, Stripe's own terms and fees apply separately. You are solely responsible for paying affiliate commissions; Afglo facilitates tracking and calculation but does not guarantee payment to affiliates.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Afglo and protected by intellectual property laws. You retain ownership of your content (brand assets, campaign descriptions, product information) that you upload to the Service. By uploading content, you grant us a limited license to display it as necessary to operate the Service. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Data and Privacy

We collect and process data as necessary to provide the Service. This includes account information, campaign data, referral tracking data, and usage analytics. We implement reasonable security measures to protect your data. You are responsible for compliance with applicable data protection laws (including GDPR where applicable) with respect to personal data you collect through the Service. Our tracking script uses first-party cookies for referral attribution.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFGLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

11. Indemnification

You agree to indemnify and hold harmless Afglo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. You may close your account through account settings or by contacting us. We may suspend or terminate your account for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination. You remain responsible for any outstanding affiliate commissions earned prior to termination.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-platform notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Diego County, California. You agree to submit to the personal jurisdiction of these courts.
